These Terms & Conditions ("Terms") govern your access to and use of the website at unispheremarketing.com (the "Site"), operated by Unisphere Marketing ("Unisphere," "we," "us," or "our"). By accessing or using the Site, contacting us, or interacting with our AI voice agent, you agree to be bound by these Terms and by our Privacy Policy. 2. Our Services

Unisphere provides done-for-you AI growth services for local businesses, including a 24/7 AI voice agent, appointment booking, database reactivation, Google Ads management, and Google Business Profile optimization. The Site describes our services and lets you learn about and request them. The specific scope, deliverables, fees, and terms of any services we provide to you as a client are set out in a separate written services agreement or proposal, which governs that engagement and will prevail over these Terms in the event of a conflict relating to the services.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a business, you represent that you are authorized to bind that business to these Terms.

4. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You will not:

• violate any applicable law or regulation;
• interfere with, disrupt, or compromise the security or integrity of the Site;
• attempt to gain unauthorized access to any part of the Site or its systems;

5. Bookings & Consultations

When you schedule a strategy call or consultation through the Site or our scheduling tools, you agree to provide accurate and complete information. Please give us reasonable notice if you need to reschedule or cancel. Repeated missed appointments may result in us declining future bookings.

6. AI Voice Agent & Communications

The Site and our services include an AI voice agent that may answer and place calls, send messages, and book appointments. By interacting with the agent or providing your phone number, you consent to receive calls and messages relating to your inquiry, and you acknowledge that calls may be recorded and transcribed as described in our Privacy Policy. Message and data rates may apply. You may opt out of non-essential communications at any time.

7. Fees & Payment

Where we provide paid services, the fees, billing cycles, and payment terms are set out in your separate services agreement or proposal. Unless otherwise stated in that agreement or required by law, fees are non-refundable.

8. Intellectual Property

The Site and its content — including text, graphics, logos, images, video, and software — are owned by Unisphere or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose. You may not reproduce, distribute, modify, or create derivative works from the Site or its content without our prior written consent.

9. Third-Party Services & Links

The Site uses and links to third-party services, including our voice-AI, scheduling, advertising, analytics, and hosting providers. We are not responsible for third-party services or websites, and your use of them is subject to their own terms and policies.

10. Disclaimers

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 11. Limitation of Liability

To the fullest extent permitted by law, Unisphere and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site, even if we have been advised of the possibility. Our total liability for any claim relating to the Site will not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid us, if any, in the twelve months before the claim arose.

16. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy and any applicable services agreement, constitute the entire agreement between you and Unisphere regarding the Site.
